1. PARTIES, SUBJECT AND SCOPE OF THE PORTAL TERMS OF USE AGREEMENT
1.1. In order to use this website (hereinafter referred to as "PORTAL"), please read the following terms and conditions. If you do not accept these conditions, please stop using the "PORTAL". Every natural and legal person who benefits from the services offered on this "PORTAL" by paying a certain price or free of charge or who accesses the "PORTAL" in any way is deemed to have accepted the following terms of use. "filyarn" may change the conditions specified in this contract at any time without any notice and notification to the "USER". These changes will be periodically published on the "PORTAL" and will be valid on the date of publication. Any change made by "filyarn" in the provisions of this agreement is deemed to have been accepted in advance by every real and legal person who benefits from the "PORTAL" services and access to the "PORTAL".

2. DEFINITIONS

2.2. USER : Every natural and legal person who accesses the "PORTAL" and/or "filyarn" DATABASE" online (on-line).
2.3. LINK : A link that enables access to the "PORTAL" through the "PORTAL" or to another website, files, content or from another website to the "PORTAL", files and content.

2.6. filyarn DATABASE : The database protected in accordance with the Law No. 5846 on Intellectual and Artistic Works No. 5846, which belongs to "filyarn", where the contents accessed through the "PORTAL" are stored, classified, queried and accessed.
2.7. "MEMBER" : Each real and/or legal person who benefits from the special services offered by "filyarn" by completing the "MEMBER" process defined by "filyarn" on the "PORTAL"; as a result of the approval given electronically by "filyarn" and accepts the contracts specially prepared for these services with the electronic approval given within the "MEMBER" registration process "USER".
2.8. "MEMBER AGREEMENT" : The electronic contract, which is an integral part of these site terms of use, which specifies the conditions for benefiting from the special services offered by "filyarn" within the "PORTAL"; which is concluded electronically between "filyarn" and "MEMBER" as a result of the approval given electronically by "MEMBER" during the membership registration process. "filyarn" may categorize the "MEMBER AGREEMENT" according to different membership and/or service groups and present it to the approval of the "MEMBER" under different names. In this case, the person who will be a "MEMBER"; according to the services he wants to receive; he accepts the one related to the service he chooses from the contracts regulating those services.
3. filyarn SERVICES
3.1. "filyarn" ensures that the contents uploaded to the "filyarn" DATABASE" by "MEMBERS" can be queried by "USERS" through the "filyarn" DATABASE" by using the interfaces on the "PORTAL" and can be viewed by the interfaces belonging to "filyarn" through the "PORTAL".
3.2. "filyarn", within the framework of the explanations specified in the "MEMBERSHIP AGREEMENT" and within the framework of the explanations made in the "PORTAL" regarding the relevant service; publishing its advertisements, opening a virtual store, offering its products and services for sale, receiving and giving offers, making sales, collecting sales fees, communicating with "USERS" and / or "MEMBERS" through various channels (eg. Short message, electronic mail, message transmission within the "PORTAL", etc.) within the "PORTAL".
3.3. "filyarn" provides various types of listing services to its "MEMBERS" within the framework of the explanations specified in the "MEMBERSHIP AGREEMENT" and made in the "PORTAL" regarding the relevant service, which prioritizes the display of advertisements in order to enable "USERS" to access the advertisements of "MEMBERS" more easily in the "PORTAL".
3.4. "filyarn" offers communication channels to its "MEMBERS" through the "PORTAL" in order to provide comments and profile points to be directed to "filyarn" through the "PORTAL" by other "MEMBERS" regarding the advertisements published and transactions made by the "MEMBERS" within the "PORTAL" and to report their satisfaction regarding the transactions carried out within the "PORTAL".
3.5. "filyarn" offers its "MEMBERS" reporting services under various categories for the transactions they perform within the "PORTAL", the movements within the "PORTAL" for their likes and the number of views of other "MEMBERS" and "USERS" regarding their own advertisements.
3.6. The services provided by "filyarn" are not limited to those specified in the above articles. The services listed above are the basic services offered by "filyarn" and adding new services to these services, changing the scope and conditions of provision of the above-mentioned services is entirely within the authority of "filyarn". "filyarn" may exercise this authority unilaterally in any manner it wishes without any notice.
4. CONDITIONS AND OBLIGATIONS REGARDING THE USE OF Filyarn PORTAL
4.1. "USERS" may only perform transactions on the "PORTAL" for lawful purposes. The legal and criminal liability of the "USERS" and "MEMBERS" in every transaction and action within the "PORTAL" belongs to them.
4.2. The "PORTAL" operates on the basis that the "CONTENT" uploaded to the "filyarn DATABASE" by the "MEMBERS" is viewed by the "USERS". "filyarn" does not under any circumstances guarantee the accuracy, security and legality of the "CONTENT" viewed by the "USERS" and assumes no responsibility for such "CONTENT".
4.3. The "USER" accepts and undertakes that he/she will not reproduce, copy, distribute, process all kinds of pictures, texts, visual and audio images, video clips, files, databases, catalogs and lists contained in the "PORTAL" and that he/she will not compete directly and/or indirectly with "filyarn" either directly and/or indirectly with these actions or in other ways.
4.4. "filyarn", the institutions it cooperates with, "filyarn" employees, branches and managers, "filyarn" authorized dealers are not responsible for the services provided by third parties within the "PORTAL", the advertisements and "CONTENT" created by "MEMBERS".
4.5. "USERS" and "MEMBERS" accept and undertake that the information and contents provided by them to "filyarn" within the "PORTAL" are accurate and lawful. "filyarn" is not obliged and responsible for investigating the accuracy of the information and contents transmitted to "filyarn" by the "USERS" and "MEMBERS" or uploaded, modified and provided by them through the "PORTAL" and for undertaking and guaranteeing that such information and contents are safe, accurate and lawful.
4.6. "USERS" and "MEMBERS" accept and undertake that they will not engage in activities that will lead to unfair competition in accordance with the provisions of the Turkish Commercial Code within the "PORTAL", and that they will not carry out acts that will undermine the personal and commercial reputation of "filyarn" and third parties, infringe and attack personal rights.
4.7. "filyarn" reserves the right to change the services offered within the "PORTAL" and the contents of the "CONTENT" accessed within the "PORTAL" at any time. "filyarn" may exercise this right without any notice and without prior notice.
4.8. "USERS" and "MEMBERS" are obliged to fulfill the changes and/or corrections requested by "filyarn" immediately. Requests for changes and/or corrections requested by "filyarn" may be made by "filyarn" if deemed necessary. The damages, legal and criminal liabilities that arise or may arise due to the failure of the "USERS" and "MEMBERS" to fulfill the requests for changes and/or corrections requested by "filyarn" on time belong entirely to the "USER" or "MEMBER" to whom the request is directed.
4.9. "USERS" are obliged to use the information they access within the "PORTAL" only for the purposes disclosed by the "MEMBER" or "filyarn" disclosing this information.
4.10. "filyarn" is a "Hosting Provider" pursuant to the Law No. 5651 and has obtained a "Hosting Activity Certificate" from the Telecommunications Authority Communications Directorate in accordance with the relevant mandatory legislation. In order to comply with the obligations imposed on "Hosting Providers" pursuant to the Law No. 5651 and the relevant legislation, "filyarn" records and stores the records specified in the relevant legislation regarding the transactions carried out by the "USERS" on the "PORTAL" within the legal period.
4.11. "filyarn" is obliged to fully and completely comply with the obligations specified in Article 5 of the relevant law as it is a "Hosting Provider" in accordance with the Law No. 5651.
4.12. "filyarn" may use, disclose, process, share, classify and store the information transmitted to it by "USERS" or "MEMBERS" through the "PORTAL" in accordance with the provisions of the "Privacy Policy" and "MEMBERSHIP AGREEMENT". "filyarn" may also use information such as the identity, address, e-mail address, telephone, IP address, which parts of the "PORTAL" the user or visitor visits, domain type, browser type, date and time for purposes such as statistical evaluation and providing personalized services.
4.13. It is forbidden to intensively extract information from the "filyarn DATABASE" in order to obtain the content accessed and/or viewed on the "PORTAL". Persons who intensively withdraw information from the "filyarn DATABASE" by not complying with this prohibition may be subject to Article 243 (1) of the T.C.K. 243 (1) of the T.C.K., will be assumed to have unauthorized access to the information system and criminal prosecution will be initiated by filyarn.
4.14. It is lawful for third parties to access the database where the content accessed and/or viewed through the "PORTAL" is stored only for the purpose of viewing the relevant content and/or within the framework of the terms of use authorized in writing by "filyarn". Accesses other than this are unlawful; "filyarn" reserves its rights to demand, sue and follow-up.
4.15. It is forbidden to copy, reproduce, transmit, process and display the advertisements published on "PORTAL", "filyarn INTERFACE" on other websites and media without the written consent of "filyarn".
4.16. It is prohibited to display any kind of "CONTENT" accessed and/or displayed on the "PORTAL" in any communication medium, especially on the internet, other than the "filyarn site" by third parties without the written consent of "filyarn".
4.17. The personal data contained in the advertisements accessed and / or viewed through the "PORTAL" cannot be used, processed, transmitted, displayed and disclosed by third parties under any circumstances and conditions without the written consent of the personal data owners and "filyarn".
4.18. "Filyarn DATABASE" and the information contained in this database cannot be copied, transferred to other databases and made available to the access and use of third parties from these databases without the written consent of Filyarn.
5. INTELLECTUAL PROPERTY RIGHTS
The information accessed or lawfully provided by users within this PORTAL and all elements of this PORTAL (including but not limited to the "filyarn DATABASE", "filyarn INTERFACE", design, text, images, html code and other code) (collectively referred to as the copyrighted works of "filyarn") belong to "filyarn" and/or have been obtained by "filyarn" under license from a third party. "USERS" do not have the right to resell, process, share, distribute, display or allow anyone else to access or use "filyarn" services, "filyarn" information and copyrighted works of "filyarn". These and similar situations shall not be deemed as delay or non-performance or default for "filyarn" or any compensation obligation of "filyarn" shall not arise for these situations. The term "force majeure" shall be construed as events beyond the reasonable control of the party concerned and which "filyarn" could not have prevented despite exercising due diligence. Force majeure events include, but are not limited to, natural disasters, riots, war, strikes, communication problems, infrastructure and internet failures, power outages and bad weather conditions.
8. APPLICABLE LAW AND JURISDICTION
In the implementation and interpretation of these "Portal Terms of Use" and in the management of legal relations arising within these "Portal Terms of Use", Turkish Law shall apply, except for Turkish conflict of laws rules. Istanbul Courts (Central) and Enforcement Offices are authorized to settle any disputes arising or that may arise from this agreement.
9. ENFORCEMENT and ACCEPTANCE
These "Portal Terms of Use" shall become effective on the date it is announced by "filyarn" in the "PORTAL". "USERS" and "MEMBERS" accept the provisions of this agreement by using the "PORTAL". "filyarn" may amend the provisions of this agreement at any time and the amendments shall take effect on the date of publication on the "PORTAL" by specifying the version number and date of amendment.
